This page explains, for the public, for persons named on this website, and for their representatives, exactly where the information we publish comes from, how it is labelled, and the legal basis on which it is published. It is intended to be complete and transparent so that any concern can be addressed directly, quickly, and without litigation.
1. Purpose of publication
This website is published by an independent, investor-organized coalition for two purposes:
- Public-interest reporting and accountability concerning the administration of real estate syndicate, joint-venture, and condominium investments in Ontario; and
- Coordination of legal claims by affected investors, including the collection and organized sharing of documents with any legal counsel and forensic accountants that may be retained.
The subject matter — the loss of investor capital and the governance of entities holding the public's money — is squarely a matter of public interest.
2. Sources of information
We rely on the following categories of sources. We do not publish information from anonymous, unverifiable, or unlawfully obtained sources.
A. Public records
Information reproduced or summarized from records that are publicly available, including:
- Ontario corporate and business registry filings (including recorded directors and officers);
- condominium corporation records and filings (including boards of directors) under the Condominium Act, 1998;
- land registry / Land Titles records;
- court and tribunal filings that are part of the public record;
- securities filings and regulatory materials; and
- municipal records (for example, tax and utility account matters that attach to title).
Where we state a figure such as a number of recorded directorships, it is derived from such filings and is preliminary and subject to verification. Registry data can include inactive, dissolved, duplicate, or similarly named entities; counts may therefore overstate or understate the true position and are corrected as better information becomes available.
B. Investor-provided information and documents
Documents, statements, and information uploaded by investors and other participants — for example, subscription and joint-venture agreements, offering memoranda, wire and payment records, correspondence, and personal accounts. These are reproduced or summarized as provided. We label personal accounts as the account of the individual investor and do not present them as verified fact.
C. Publicly available marketing and promotional materials
Historical brochures, listings, and promotional materials are referenced from public sources and archives (including the Internet Archive / Wayback Machine) under nominative fair use, for the purpose of comparing representations made to the public against the underlying assets.
D. Public reporting and journalism
We may link to or summarize reporting by established news organizations — for example, CBC News and regional Ontario outlets — concerning the entities and properties discussed on this website. Such reporting is attributed to its source, and we do not adopt it as our own statement. It is included because it forms part of the public record on a matter of public interest.
3. How we label information
We use deliberate, consistent labelling so that no reader can mistake an allegation for a finding:
- "Alleged", "allegation", "under investigation", "under review", "preliminary" — unproven matters and matters being examined.
- "Public record", "filed", "registered" — the existence and content of a public filing, reported as such.
- "[Name] states", "investor account" — a statement attributed to its source, not adopted by us.
- Comment and opinion — clearly framed as opinion based on the stated facts.
We do not assert as fact that any person has committed a crime, fraud, or misconduct. No person named on this website has been found liable by any court, regulator, or tribunal. We do not adopt or endorse third-party statements, allegations, or opinions.
4. Legal basis for publication
We publish this material in good faith and in reliance on the following, among other things:
- Truth / justification — for information that is accurate and drawn from public records;
- Fair comment — for opinion on a matter of public interest, based on facts stated or known;
- Qualified privilege — for communications made in the course of a common interest (investors sharing information to protect their legal and financial interests);
- Responsible communication on matters of public interest — the defence recognized in Grant v. Torstar Corp., 2009 SCC 61; and
- Protection for expression on matters of public interest — Ontario's anti-SLAPP provision, section 137.1 of the Courts of Justice Act (R.S.O. 1990, c. C.43), which exists precisely to protect this kind of public-interest expression from being silenced by strategic litigation.
This statement of legal basis is provided for transparency and is not, and is not intended to be, a waiver of any defence or privilege.
5. Corrections and right of reply
We want the record to be accurate. If you are named on this website and believe any statement is inaccurate, misleading, or out of date, please contact us at siregsimpleinvestors@aicanadiansolutions.ca with the subject line "Correction / Right of Reply" and include:
- the specific statement or page at issue;
- the basis for your concern and any supporting documents; and
- the correction or response you would like published.
We will review the request promptly, correct verified errors, and, where appropriate, publish a response from the named party alongside the material. Our policy is to correct genuine inaccuracies and to provide a right of reply; we do not remove accurate, lawfully published, public-interest material simply because it is unwelcome.
6. Preservation and legal hold
Documents and records relevant to anticipated or existing proceedings are preserved under a legal hold. Information on this website may therefore be retained for the duration of any proceeding and any appeal.
