Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website and investor portal at siregsimpleinvestorcoalition.aicanadiansolutions.ca (the "Platform"), operated by AICanadianSolutions ("AICS", "we", "us", "our"). By accessing or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.

1. Who we are — and who we are not

AICS provides the Platform strictly as a technical data repository and communications tool. AICS is not a law firm, does not practise law, and does not provide legal, financial, accounting, or investment advice. No solicitor–client, fiduciary, or advisory relationship is created by your use of the Platform. Nothing on the Platform is legal advice or a recommendation to take or refrain from any legal step. Any legal services are provided only by independent counsel under a separate written retainer between you and that counsel.

2. Eligibility and accounts

• You must be at least 18 years old and legally competent to enter into these Terms.
• Access to the gated investor area is limited to persons who are verified as investors, title holders, or capital partners in the affected properties, or who are otherwise approved by the coalition's organizers.
• You are responsible for the accuracy of the information you submit and for keeping your password confidential. You must notify us promptly of any unauthorized use of your account.
• We may suspend or terminate access that we reasonably believe is fraudulent, abusive, unlawful, or in breach of these Terms.

3. Your content and the licence you grant

You retain ownership of documents, statements, and other content you upload ("Your Content"). By uploading Your Content you grant AICS and the coalition's organizers a non-exclusive, royalty-free licence to store, reproduce, organize, and disclose Your Content to any legal counsel, forensic accountants and committee members that may be engaged for the purpose of assessing, coordinating, funding, and pursuing investor claims and related proceedings. This licence ends when Your Content is deleted, except to the extent it has already been disclosed to counsel or is subject to a legal-hold or preservation obligation.

You represent and warrant that you have the right to upload Your Content and that doing so does not infringe any third party's rights or breach any confidentiality obligation you owe.

4. Public-interest information, allegations, and no adoption of third-party statements

Portions of the public website summarize public records (for example, corporate registry, condominium corporation, land registry, court, and securities filings) and information and opinions provided by independent investors and other third parties. Such information:

• is preliminary, unverified, and subject to change;
• may contain errors, omissions, duplicates, or outdated entries (for example, a recorded directorship may relate to an inactive or dissolved entity);
• may consist of allegations, concerns, or opinions that are disputed and have not been proven; and
• does not represent the findings of any court, regulator, or tribunal, and no person named has been found liable.

AICS and the coalition's organizers publish this material for the purposes of public-interest reporting and the coordination of investor claims. We do not adopt, endorse, or assert as fact any third-party statement, allegation, or opinion, and we expressly disclaim liability for third-party content. 5. Acceptable use

You agree not to:

• post defamatory, harassing, threatening, hateful, obscene, or unlawful content;
• post another person's confidential information without authority;
• impersonate any person or misrepresent your identity or your investment;
• upload malware, attempt to gain unauthorized access, scrape, or disrupt the Platform; or
• use the Platform to solicit investors for any purpose unrelated to the coalition.

Community posts display your verified name. Posts are screened by an automated profanity and abuse filter, and we may remove or hide content and suspend accounts that breach these Terms.

6. No warranties; no guarantee of outcome

The Platform and all content are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will be uninterrupted or error-free, or that any claim, recovery, or legal outcome will be achieved. Participation in any proceeding is voluntary and at your own risk and cost.

7. Limitation of liability

To the maximum extent permitted by law, AICS and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Platform or reliance on any content, even if advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including under Ontario's Consumer Protection Act, 2002 where it applies.

8. Indemnity

You agree to indemnify and hold harmless AICS and the coalition's organizers from any claim, loss, or expense (including reasonable legal fees) arising from Your Content, your breach of these Terms, or your breach of any third party's rights.

9. Intellectual property

The Platform's design, text, and branding (other than Your Content and third-party materials) are owned by or licensed to AICS. Historical third-party marketing materials may be referenced from public archives (for example, the Internet Archive / Wayback Machine) under nominative fair use for the purpose of public-record verification.

10. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.

11. Changes

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, notified to registered users. Continued use after a change constitutes acceptance.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You irrevocably submit to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto.
